Forms of foreign investment in Vietnam

Step 1: Registering foreign investment in Vietnam according to the following procedures: Procedures for issuance of Investment Registration Certificate Before establishing a company in Vietnam, foreign investors must have an investment project and must carry out procedures for issuance of an Investment Registration Certificate in accordance with regulations. An application for an Investment Registration Certificate includes the following documents:

• A written request for the implementation of an investment project
• If the investor is an organization: a copy of the certificate of incorporation or document confirming legal status
• For individual investors: copy of identity card/citizen identification card/passport
• Investment project proposal
• A copy of the financial statement of the last 2 years or the parent company’s commitment to financial support
• Proposing land use needs
• Explain the use of technology if necessary
• A written request for the implementation of an investment project
• The application is submitted at the Department of Planning and Investment – where the project’s head office is located.

Step 2: Register to establish a foreign-invested company.

• Application for business registration
• Company rules
• List of members/shareholders of the company
• Copy of Citizen ID Card or copy of People’s Identity Card or Passport copy of members
• Copy of Investment Registration Certificate for foreign investors
• Lease contract for company headquarters
• Power of attorney for the person carrying out the procedure
• Foreign investors submit the prepared documents at the Business Registration Office where the company is located.

Step 3: Granting a Business License The granting of a business license is only applicable to foreign investors doing business in the field of import, export and distribution of goods in Vietnam. This is a sufficient condition for a foreign-invested company to operate in the field of import, export and distribution of goods in Vietnam.

Procedures for foreign investors to buy back contributed capital of Vietnamese companies

If a foreign investor purchases a capital contribution from a Vietnamese company dealing in import, export and distribution of goods, it is necessary to complete the procedures and complete the following legal documents:

• Notice of satisfaction of conditions for purchase of contributed capital for foreign investors
• Certificate of business registration
• Business license.
